Terms of Use of Paysera Tickets

Main definitions

1.1. Ticket/Season tickets – a document generated by the Paysera Tickets platform, which grants the right to attend a specific Event or several events organised by the Organiser, and where the name, place, and date of the Event, QR code, and other information of the Organiser are given.
1.2. Website tickets.paysera.com – an electronic website that belongs to UAB Paysera LT under the property right and which is a constituent part of Paysera Tickets.
1.3. Organiser – a business or individual client who has created an event in the Paysera Tickets platform and sells or distributes Tickets to the Event; data of the Organiser is provided next to information on the Event.
1.4. Paysera – UAB “Paysera LT” (company code 300060819, registered at Pilaitės pr. 16, Vilnius), which has created, supports, and develops the Paysera Tickets platform, and which owns all intellectual rights to the present platform.
1.5. Paysera Tickets – an electronic event ticketing platform that belongs to Paysera under copyright, available at the address tickets.paysera.com.
1.6. Buyer – a business or individual client who buys/has bought a ticket via the Paysera Tickets platform to the Event organised by the Organiser. A business or an individual client who is selling/has sold Season tickets purchased via the Paysera Tickets platform according to the procedure provided for in the Rules.
1.7. Event – a concert, trip, sports, or any other public event organised by the Organiser, which can be attended only with a Ticket.
1.8. Rules – the present Terms of Use of the Paysera Tickets platform.
1.9. Website visitor – any person visiting or using the tickets.paysera.com Website, regardless of the registration status.

General provisions

2.1. The present Rules come into force at the moment when a person starts browsing the Paysera Tickets platform. When using the Paysera Tickets platform, the person states that they have read the present Rules, agree to them, and commit to comply with them.
2.2. The Rules are considered to be a necessary condition for using the Paysera Tickets platform and apply both to the Buyers and Organisers. Persons who do not agree with the Terms of Use of Paysera Tickets may not use this platform, and when using it, undertake to comply with these Rules.
2.3. The present Rules define the conditions of the use of the Paysera Tickets platform when receiving information about Events, distributing and selling Tickets to the Events, purchasing Tickets to Events, providing information to Organisers, and other conditions of using the platform.
2.4. Paysera reserves the right to amend the provisions of the present Rules at any time. Such amendments come into force from the moment they are published on the website tickets.paysera.com. A person is recommended to always read the newest version of the present Rules before using Paysera Tickets.

Use of the Paysera Tickets platform

3.1. The Paysera Tickets platform is an Event Ticketing platform, giving the possibility for Organisers to provide information about Events and distribute tickets to them, and for the Buyers to receive information about Events, their Organisers, and purchase a Ticket from the Organiser.
3.2. Paysera does not provide any distribution/selling services of Tickets to the Buyers, but only provides a platform for exchanging information on Events between the Organiser and the Buyer, and for purchasing/selling Tickets.
3.3. Paysera does not hold the responsibility and does not have a right to establish terms and conditions of services, the right to use which is granted by the Tickets distributed by the Organiser. Paysera also holds no responsibility for the content provided in the description of the Event, including the completeness and comprehensibility of the terms and conditions of service provision specified in the description. The Organiser bears full responsibility for the content of the Event description, its completeness, accuracy, and legitimacy.
3.4. Paysera does not provide a possibility to resell the purchased Ticket, except for an exemption provided for in clause 3.5 of the Rules for Season tickets. If the description of the event does not provide otherwise, and such reselling of the Ticket breaches restrictions established by laws and/or the Organiser, the Organiser has a right to declare the Ticket invalid and not to refund the Ticket purchased.
3.5. Paysera allows the Buyer, who has purchased Season tickets, to sell part of the tickets constituting the Season tickets in the Paysera Tickets platform. The Buyer may use this reselling right in the Paysera Tickets platform, selling these Tickets on other platforms/places is prohibited.
3.6. Data of the Event Organiser is provided next to each specific Event.
3.7. Persons younger than 14 (fourteen) years of age are prohibited from using the Paysera Tickets platform, and buying or selling Tickets. By registering on the Paysera Tickets platform or buying or selling a Ticket, the Buyer confirms the fact that they are at least 14 (fourteen) years of age, and they have a right to enter into respective transactions and bear full responsibility for the correctness of this data/confirmation.
3.8. Tickets can be purchased by all persons who have the right and possibility to enter into such transactions, i.e. persons whose active legal capacity is not limited within the present field, who have the technical possibilities to pay for the Ticket and receive an electronic ticket, and who comply with the requirements of the present Rules.
3.9. In order to buy a Ticket to the Event, the Buyer may, but does not have to, register in the Paysera Tickets platform as provided in chapter 5 of the Rules. The Buyer, who is not registered in the Paysera Tickets platform, shall simply select the Event, select the option to purchase the Ticket, enter the number of Tickets they wish to buy, provide their valid email address and other information about the Buyer requested by the Organiser, and give the confirmations requested by the platform.
3.10. The Buyer can pay for the Ticket using electronic payment methods integrated into the Paysera Tickets platform.
3.11. The Buyer shall pay for the Ticket within 15 minutes after submitting the order, unless there is an expressed permission from the Organiser to pay for the Ticket with a proforma invoice. If they are late to pay for the Ticket, the Buyer undertakes the risk that the Ticket will not be purchased and provided. For a refund of late payment money, the Buyer shall contact the Organiser directly.
3.12. Tickets are issued to the Buyer only after they pay the full price for the Tickets. Information about the prices of Tickets is provided on the website tickets.paysera.com and during the purchase of the Ticket. If the Buyer wishes to receive an invoice for the Tickets purchased, the Buyer should directly contact the Organiser.
3.13. After the Buyer appropriately pays for the Ticket, the generated electronic Ticket is sent to the email address specified by the Buyer, and for the Buyer who is registered in the Paysera Tickets platform, the Ticket is also uploaded to their account in the Paysera Tickets platform. The Buyer is responsible for the provision of an accurate and valid email address. If the Buyer provides an inaccurate or invalid email address, they undertake the responsibility for failure to send Tickets to the Buyer or for sending them to someone else. In this case, for the receipt of the Ticket or refund of money for the Ticket, the Buyer shall contact the Organiser directly.

Rights and Liabilities of the Organiser

4.1. The Organiser, in order to be able to use the Paysera Tickets platform, must accept the present Rules, Privacy policy, and Personal Data Processing Agreement and if the Organiser intends to sell tickets to paid events, also sign the Paysera General Payment Services Agreement and conclude an agreement with Paysera regarding the respective project for the Collection of payments.
4.2. The Organiser confirms that they distribute and sell the Tickets to the Buyers directly, by entering into purchase-sales transactions with the Buyers.
4.3. Funds from the Tickets sold are collected on the electronic money account of the Organiser in the Paysera platform according to the terms and conditions provided on www.paysera.com.
4.4. The Organiser is responsible for invoicing the Buyers. The Organiser is provided with an automatic invoicing function in the Paysera platform. Paysera provides the instruction for using this function to the Organiser.
4.5. The Organiser bears full responsibility for the execution and cancellation of the Event, and shall immediately inform Buyers of any changes to the Event: date, time, cancellation of the Event, etc., and update the relevant information on the Paysera Tickets platform.
4.6. The Organiser bears full responsibility for any losses incurred by the Buyer due to a change of the place or time of the Event, or other conditions of the Event when the Buyer has already purchased the Ticket to the Event.
4.7. The Organiser holds the responsibility against Buyers and other third persons (competent authorities, etc.) for non-execution or improper execution of Ticket refunds to the Buyers. The Organiser may refund the Ticket to the Buyer by logging in to their account in the Paysera or Paysera Tickets platform.
4.8. The Organiser logs in to the Paysera Tickets platform by using the Paysera account, Facebook, Google, and other platforms approved by Paysera.
4.9. The Organiser, when creating the Event on the Paysera Tickets platform, provides information about it, i.e. name, place, time, description, and other required information, selects the required Ticket settings, and data required to be collected about the Buyer.
4.10. The Organiser may view the number of sold or distributed Tickets in the Paysera Tickets platform, monitor the statistics of their Events, and perform other actions provided for on the platform.
4.11. The Organiser must download and use a “Paysera Tickets” mobile scanning app according to instructions set out on the Website in order to check the authenticity and validity of the Ticket. Paysera provides instructions to the Organiser on how Tickets should be checked with a special mobile app.
4.12. The Organiser commits to ensure the accuracy, completeness, and compliance of all graphical, textual, and digital information about Events provided on the tickets.paysera.com website with applicable legislation. The Organiser undertakes not to promote or encourage hatred, violence, or harassment against individuals or groups of individuals; not to use copyrighted or trademarked material without the appropriate permission.
4.13. The Organiser commits not to disclose the login credentials used to log in to the Paysera Tickets platform to any third persons.
4.14. The Organiser is prohibited from organising, distributing, and selling Tickets to Events that violate the requirements of the legislation, including pornographic or erotic content, Events intended to promote the usage of alcohol and tobacco or gambling. The Organiser is also prohibited from using the Paysera Tickets platform in violation of clause 10.3 of the Rules, as well as the execution of illegal activities, fraud, and other criminal actions.
4.15. The Organiser unconditionally commits to reimburse Paysera for any penalties imposed by the competent authorities if these penalties were imposed on Paysera due to the Organiser’s fault.
4.16. The Organiser analyses the Buyers’ claims related to a respective Event to which Tickets were distributed/sold via the Paysera Tickets platform. Paysera, having received such claims, must forward them to the Organiser by notifying the Buyer thereof.
4.17. If an institution protecting consumer rights adopts a formal decision that the user’s claim is reasonable and damage to the user must be compensated by Paysera, Paysera itself implements the decision of the institution protecting consumer rights, but the Organiser must reimburse Paysera for the damages incurred in relation to the implemented decision of the institution protecting consumer rights if the decision was adopted not due to the fault of Paysera.
4.18. If the Organiser breaches their obligations under these rules, Paysera has a right, without a separate warning, to immediately unilaterally terminate the agreements signed with the Organiser, suspend and/or discontinue the rights of the Organiser to use the Paysera Tickets platform, suspend the sale/distribution of Tickets, and send a letter to the Organiser requesting to refund the Buyers, and take other legal actions to protect the interests of Paysera, Buyers, and third persons.
4.19. The Organiser agrees and confirms that Paysera has a right to, at its discretion, publicise the Organiser’s public events on its Website, social media accounts, and email marketing platforms without notifying the Organiser and obtaining their consent. This rule does not apply to private events accessible only with a link. The privacy of the event is explicitly noted by the Organiser when creating the event.
4.20. The Organiser agrees and confirms that Paysera has a right to use free space on the Ticket at its own discretion for its advertising or advertising of third persons, and to use this space for other purposes. The Organiser confirms that they do not have any claims and will not express any claims in the future regarding the content, text, and graphic information, etc. published on the free space on the Ticket. Paysera will ensure that the content of the advertising will not disturb the general order, legal requirements, and norms of good conduct.
4.21. The Organiser undertakes that seating plan templates created by using the Website can be viewed, used, reproduced, adapted and published by Paysera and other Organisers on the Website or in any other existing or future media.

Rights and Responsibilities of the Buyer

5.1. The Buyer shall:
5.1.1. in an appropriate and timely manner, pay for the purchased Ticket to the Organiser;
5.1.2. provide accurate, detailed, and correct data;
5.1.3. not violate and comply with the present Rules, other publicly available conditions and provisions of Paysera and the Organiser, the legal instructions of Paysera, and the requirements of the applicable legislation;
5.1.4. pay for tickets within 15 minutes from submission of the order, except for an exemption provided for in clause 3.11 of the Rules.
5.1.5. prior to purchasing Tickets, evaluate all organisational circumstances of the Event, Tickets to which they buy, including the date, time, place, and other conditions of the Event, read all relevant information related to purchasing Tickets and execution of the Event, inquire about the data of the Event Organiser, etc. For additional information, the Buyer shall contact the Organiser directly.
5.2. The Buyer is prohibited from:
5.2.1. counterfeiting and copying Tickets, using or acquiring Tickets illegally outside the Paysera Tickets platform;
5.2.2. selling Tickets generated by the Paysera Tickets platform outside the Paysera Tickets platform;
5.2.3. using any devices, programs, or software which may disturb the appropriate operation of the Paysera Tickets platform;
5.2.4. performing any other actions which would create irrational or excessive loading of the Paysera Tickets platform.
5.3. All illegal actions of the Buyer are reported to law enforcement and other competent authorities.
5.4. When using the Paysera Tickets platform, the Buyer undertakes full responsibility for the accuracy, completeness, and conformity of provided data with reality, and undertakes all consequences for non-compliance with these requirements.
5.5. Prior to coming to the Event, the Buyer is recommended to inquire whether the time, place, and other conditions of the Event have remained unchanged.
5.6. The Buyers use the website at their own risk. Paysera does not guarantee and does not hold responsibility for any disturbances or problems encountered by the Buyer when using the website.

Registration

6.1. The Buyer wishing to sell a Season Ticket/Tickets on the Paysera Tickets platform to another person must be a registered user of the Paysera Tickets platform.
6.2. The registration is done by using the Buyer’s login with Facebook, Google, and other platforms approved by Paysera, and data obtained from these platforms is required for registration. The person, by registering with the Paysera Tickets platform, agrees that their personal data is transferred to Paysera for the purpose of registration with the Paysera Tickets platform.
6.3. The Buyer bears full responsibility that their personal data provided and stored in the registration form and on the Paysera Tickets platforms is accurate, correct, and complete. In case of a change in data, the Buyer must immediately update it. Paysera and/or the Organiser shall in no way be responsible for damage arising to the Buyer and/or third persons due to the fact that the Buyer indicated incorrect and incomplete personal data or failed to change or update the data after it changed.

Event-Related Circumstances

7.1. The Organiser bears responsibility for the quality of the Event, its occurrence, and provision of accurate information about the Event and changes in its terms and conditions. Regarding any circumstances related to the Event or Tickets, the Buyer shall contact the Organiser directly.
7.2. The terms and conditions of the Event are set by the Organiser. For this reason, conditions of the provision of Event services may differ for specific persons. Paysera does not hold the responsibility and does not have the right to set the terms and conditions of the provision of services which are accessed with Tickets.
7.3. If the Organiser cancels the Event or otherwise informs that the Event will not take place, or that the date, place, or other important criteria of the Event have been changed, and, thus, the validity of the Tickets is suspended, the Buyers shall contact the Organiser directly for a refund of money and/or compensation of damages.
7.4. Regarding failure to receive Tickets, replacement of Tickets, or loss of Tickets, the Buyer shall contact the Organiser directly.
7.5. Having received claims related to the Event, Paysera forwards them directly to the Organiser.

Processing of Personal Data

8.1. Paysera processes personal data according to the procedure and under conditions established in the Privacy Policy.
8.2. Personal data of Buyers for the processing of which the Organiser uses Paysera, is processed according to the Personal Data Processing Agreement concluded between the Organiser and Paysera. This Agreement regulates the process of the Buyer’s personal data processing, mutual obligations, and responsibility of the Organiser and Paysera, and aims to ensure proper protection and security of the personal data of the Buyer according to applicable legislation protecting personal data.
8.3. By confirming the order of the ticket to the event, the Buyer also confirms their consent to transfer the personal information (personal data) they fill in to the event organiser.
8.4. The Organiser and Paysera conclude the Personal Data Processing Agreement, which is an annexe to the Terms of Use of Paysera Tickets. If the Organiser disagrees with the Personal Data Processing Agreement, they may not use the Paysera Tickets services.

Responsibility of Paysera

9.1. Paysera notes, and the Organiser agrees, that it does not hold the responsibility and does not have the right to set the terms and conditions of services which are accessed with Tickets distributed by Organisers and does not hold the responsibility for the validity of Tickets, their suspension, updates, etc. Paysera does not set the prices of Events or the terms and conditions of the provision of Event services, does not allocate seats, does not set any other criteria of service provision, does not hold the responsibility for the quality of Event services, their content, occurrence, and compliance with legal requirements, and does not provide guarantees for such services. Event services are provided to Buyers according to the internal rules of Organisers. Information about the terms and conditions of the provision of services accessed with purchased Tickets is provided in the description of the Event or by contacting the relevant Organiser.
9.2. Paysera does not hold the responsibility for the malfunction of the Paysera Tickets platform that has occurred not due to the fault of Paysera, and does not reimburse damages caused due to such malfunction.
9.3. Paysera does not reimburse damages related to purchased Tickets or Events.

Requirements for Safe User Behaviour

10.1. The Buyer before ordering tickets should take sufficient note of the terms and conditions of Services provided by the Organiser, the price of Tickets, and/or other criteria of services provided by a purchased ticket.
10.2. When ordering tickets on the website, the Buyer should make sure that they search for tickets and/or place orders by using only one browser window. If the Buyer searches for tickets by using several browser windows, they may lose their tickets, or the session of personal login to the website may time out. For this reason, the procedure for ticket ordering/acquisition may be disrupted.
10.3. Website visitors are prohibited:
10.3.1. to use any devices, programs, or software without the written consent of the Company in order to copy the content on the website or for any other unauthorised actions;
10.3.2. use any devices, programs, or software for processing or uploading ticket orders on the websites of Paysera LT or Paysera Tickets;
10.3.3. use any devices, programs, or software which may interrupt the proper functioning of the website;
10.3.4. to use the Paysera Tickets Website for any illegal activity, including but not limited to, the use of programming code for tracking the actions and behaviour of the Website visitors, exploiting the computer resources of the Website visitors for non-website functionality, distributing computer malware, using hidden or encrypted media;
10.3.5. perform any actions which constitute unreasonable load or overload of the website;
10.3.6. login, reload, or refresh pages of the website or provide other requests to servers more frequently than once in the interval of three seconds.
10.4. Website visitors use the Website at their own risk. Website visitors are responsible for the security of their password and/or keyword. Paysera does not guarantee that Website visitors will not experience any interference or problems when using the Website.
10.5. Website visitors using Paysera Tickets services should act reasonably, with integrity and discretion, provide only correct information to Paysera, and clarify all circumstances relevant to them in a specific case and be aware of the full required information.
10.6. Having noticed the breaches specified in clause 10.3 or any other Website breaches, the Website visitor shall inform Paysera about such breaches by email to security@paysera.com.

Other Terms and Conditions

11.1. Paysera does not guarantee uninterrupted Paysera Tickets platform operation, because Paysera Tickets platform operation may be affected (disordered) by many factors beyond the control of Paysera. Paysera shall put all efforts to secure as fluid Paysera Tickets platform operation as possible, however, Paysera shall not be liable for consequences originating due to platform operation disorders, if such disorders occur not due to the fault of Paysera.
11.2. The Paysera Tickets platform may not operate due to reasons under the control of Paysera and Paysera shall not provide any compensation for malfunctions if the Paysera Tickets platform has been accessible for more than 99% (ninety-nine per cent) of all time, calculating the average of at least 3 (three) months.
11.3. All copyrights to the design and content of Tickets belong to Paysera and/or the Organisers, Paysera does not hold the responsibility for the content and its requirements of the tickets distributed on the Paysera Tickets platform. All copyrights to the design and content of Tickets belong to Paysera except the Organiser’s provided graphical information about Events.
11.4. Any disputes directly related to Paysera shall be attempted to be resolved through negotiation with Paysera. In such cases, the Buyer or the Organiser should contact Paysera’s Client Support at the contact details on the website.
11.5. Disputes between the Buyer and the Organiser are settled between themselves. Paysera does not participate in the settlement of disputes between the Buyer and the Event Organiser, and does not hold any responsibility regarding the settlement of such disputes or its consequences to both the Buyer and the Organiser.
11.6. Disputes regarding the improper execution or non-execution of the agreement are considered outside the court in accordance with the procedure established by the Law on the Consumer Protection of the Republic of Lithuania at the State Consumer Rights Protection Authority, address: Vilniaus g. 25, 01402 Vilnius, email tarnyba@vvtat.lt, tel. 11.7. In the event of failure to settle the dispute amicably or through other non-judicial methods of dispute resolution, the dispute shall be settled under the valid legislation of the Republic of Lithuania in the competent court of the Republic of Lithuania according to the location of the headquarters of Paysera LT.
